CMBS and CRE CLO advisory services
W3 Advisory Group provides the specialized resources and market knowledge clients need to execute CMBS and CRE CLO securitizations successfully.

Full securitization execution support for complex commercial real estate transactions
We work as an extension of the client’s internal team, managing critical due diligence and offering-material workstreams while helping coordinate the information required by accountants, attorneys, bankers and other transaction participants.
Our services are designed to bring structure to a demanding process, relieve internal resource constraints and prevent avoidable issues from disrupting the transaction timeline.
Transaction database development
The transaction database is foundational to the securitization process. W3 creates and manages a comprehensive database based on a detailed review of the underlying loan information.
Our review encompasses:
- Loan documents
- Third-party reports
- Cash flow underwriting
- Property and borrower information
- Other relevant loan-level materials
We organize the information into a structured transaction database that we created based on market standards and support the tie-out process with the client’s selected accounting firm.
Our team understands how information must be presented, how the various source documents interact and where inconsistencies are most likely to emerge. This experience allows us to recognize concerns early and work with the appropriate parties to resolve them.
Large-Loan Summaries
W3 prepares comprehensive summaries for the transaction’s largest assets, generally including the top 10 loans. We support the tie-out and review process with the client’s selected accounting firm and various legal teams.
These summaries are developed for use in transaction materials such as:
- Term sheets
- Offering memoranda
- Investor presentations
- Other applicable disclosures
Each summary is prepared to communicate the property, loan structure, sponsorship, market and other material considerations clearly and accurately.
We approach large-loan preparation with an understanding of both the underlying commercial real estate and the expectations of capital-markets participants.
Annex A and Footnote Preparation
W3 prepares Annex A and its related footnotes for inclusion in the offering memorandum, following the CREFC industry standard that our team helped develop in coordination with CREFC.
This work requires close coordination across extensive loan-level data and supporting documentation. Our team applies established protocols to maintain consistency, identify missing information and address discrepancies before they interfere with the broader transaction process.
We help ensure that the final materials accurately reflect the transaction and satisfy applicable market expectations.
Due Diligence and Execution Coordination
A securitization involves numerous parties, each with distinct responsibilities, timelines and information requirements.
W3 helps coordinate the due diligence process by:
- Establishing an organized workflow
- Tracking outstanding information
- Identifying potential execution concerns
- Communicating with relevant transaction participants
- Supporting the resolution of open items
- Maintaining momentum through demanding deadlines
Our role is not limited to assembling information. We understand how that information affects the transaction and how unresolved issues can create delays later in the process.
Market Standards and Transaction Guidance
Clients benefit from W3’s experience across a substantial volume of CMBS and CRE CLO transactions.
We advise clients on current market practices, expected deliverables and the issues that commonly arise during execution. When a concern emerges, we draw upon established market knowledge and relevant transaction experience to help identify an effective path forward.
This guidance can be particularly valuable for first-time issuers and organizations without a dedicated internal securitization team.
Support for Experienced and First-Time Issuers
Experienced Market Participants
For established issuers, W3 provides the additional capacity and specialized execution resources required to manage concentrated transaction workloads without overextending internal teams.
First-Time Issuers
For clients approaching their first CMBS or CRE CLO securitization, W3 provides structure, guidance and an experienced understanding of what lies ahead. We clarify expectations, establish a disciplined process and help the client navigate unfamiliar requirements.
A disciplined path to execution
Every W3 engagement is supported by established protocols developed through years of transaction experience. These protocols create accountability, promote consistency and help ensure that critical details are addressed at the appropriate stage.
The result is a more organized process, earlier identification of potential concerns and greater confidence throughout the transaction.
